By accessing or using MSD Software Solutions' services, website, or engaging with us for Shopify development work, you agree to be bound by these Terms & Conditions. If you disagree with any part, you may not access our services.

3. Payment Terms
3.1 Pricing Structure
Our services are priced as follows:

3.2 Payment Methods
We accept payments via:

3.3 Late Payments
Invoices are due within 15 days of receipt. Late payments may incur:
- 1.5% monthly interest charge on overdue amounts
- Suspension of services until payment is received
- Recovery costs for collection efforts
4. Intellectual Property Rights
4.1 Client Ownership
Upon full payment, the client owns:
- Custom-developed source code
- Project documentation
- Design assets created specifically for the project
4.2 Our Ownership
We retain ownership of:
- Pre-existing code libraries and frameworks
- Proprietary tools and methodologies
- Generic code snippets and templates
5. Project Timeline & Deliverables
5.1 Timeline
Project timelines are estimates based on current scope. Delays may occur due to:
- Scope changes requested by client
- Third-party dependencies
- Technical complexities
5.2 Acceptance of Deliverables
The client has 7 business days to review and accept deliverables. If no feedback is provided within this period, deliverables are deemed accepted.
6. Confidentiality
Both parties agree to maintain confidentiality of:
- Business strategies and plans
- Technical information and trade secrets
- Financial information
- Client data and customer information
Confidentiality obligations survive termination of these Terms.
7. Warranties & Limitations
7.1 Service Warranty
We provide a 30-day warranty period for bug fixes on delivered projects at no additional cost.
7.2 Limitations
We are not liable for:
- Third-party platform changes (Shopify updates, API changes)
- Client-provided content or materials
- Force majeure events
- Indirect, consequential, or incidental damages
8. Termination
Either party may terminate services with 30 days written notice. In case of termination:
- Client pays for work completed up to termination date
- We deliver all completed work
- Confidentiality obligations remain in effect
9. Governing Law & Dispute Resolution
These Terms are governed by Indian law. Disputes shall be resolved through:
- Good faith negotiations (30 days)
- Mediation (if negotiation fails)
- Arbitration in kolkata, India as per Arbitration and Conciliation Act, 1996
10. Amendments
We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of modified Terms.
